By engaging with OptiRank Digital (“we”, “our”, or “us”), you (“the Client”) agree to the following Terms and Conditions. These terms apply to all services provided by OptiRank Digital unless otherwise specified in a written agreement.
1. Services
OptiRank Digital provides digital marketing services, including but not limited to:
- Search Engine Optimisation (SEO)
- Google Ads (PPC)
- Social Media Marketing
- Web Design & Development
- Content Creation
- Analytics & Reporting
Service details, scope, deliverables, and timelines will be defined in your proposal or service agreement.
2. Engagement
- Services commence upon acceptance of a quote or agreement and confirmation of payment (where applicable).
- The Client agrees to provide all required information, access, and approvals in a timely manner to avoid project delays.
- All communication must be in writing unless agreed otherwise.
3. Fees & Payment
- All prices are in AUD and exclusive of GST unless otherwise stated.
- Invoices are issued monthly in advance or as per project milestones.
- Standard payment terms are 7 or 14 days from the invoice date.
- Payment methods: EFT, credit/debit card (fees may apply), or direct debit.
- Late payments may result in service suspension and incur interest of 2% per month on overdue amounts.

4. Intellectual Property
- All intellectual property created by OptiRank Digital during the engagement remains the property of OptiRank Digital until full payment has been received.
- Upon full payment, ownership of completed deliverables (e.g., websites, ads, content) transfers to the Client, unless otherwise agreed.
- Pre-existing materials or third-party assets remain the property of their respective owners.
5. Confidentiality
Both parties agree to maintain the confidentiality of any sensitive or proprietary information shared during the course of the engagement. This obligation continues beyond the end of the contract.
6. Client Responsibilities
The Client agrees to:
- Provide accurate and timely information and feedback.
- Ensure access to platforms or accounts (e.g., Google Ads, CMS, social media).
- Abide by any legal requirements related to their industry or products.
7. Results & Performance
- While OptiRank Digital uses best practices and data-driven strategies, we do not guarantee specific rankings, traffic levels, or sales outcomes due to the nature of digital marketing and third-party platforms.
- Performance is influenced by market conditions, competition, algorithms, and other external factors.
8. Cancellations & Termination
- Ongoing services may be cancelled with 30 days’ written notice.
- OptiRank Digital may terminate the agreement with written notice if:
- Payments are consistently overdue
- The Client breaches these terms
- The Client engages in unethical or unlawful behaviour
Outstanding invoices must be settled upon termination.
9. Limitation of Liability
- OptiRank Digital shall not be liable for any indirect, incidental, or consequential loss, including loss of revenue, business interruption, or reputational harm.
- Our total liability is limited to the total amount paid by the Client for services in the preceding 3 months.
10. Third-Party Tools & Services
- We may use third-party platforms (e.g., Google, Meta, WordPress) as part of our service delivery.
- OptiRank Digital is not responsible for changes, downtime, or policies imposed by these third parties.
11. Governing Law
These Terms and Conditions are governed by the laws of Victoria, Australia, and any disputes shall be resolved in accordance with Australian Consumer Law.
12. Updates to Terms
We may update these terms from time to time. The most current version will always be available on our website. Continued use of our services indicates your acceptance of the updated terms.
